Terms of Service

These Terms of Service (the “Terms”) govern your use of the Aerify mobile application (the “App”) and the aerify.ai website (together, the “Service”). In these Terms, “Aerify,” “we,” “us,” and “our” refer to Argus Technology Corporation. By installing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use the Service.

1. The Service

Aerify is a minimalist mindfulness app. It provides a single quote each day and a short breathing visualization. The core Service is provided free of charge for personal, non-commercial use. Some optional features are available through Aerify+, a paid subscription described in section 5 below. We may add, change, or remove features from time to time.

2. Not medical or mental health advice

The Service is intended for general wellbeing and relaxation. It is not a medical device, and it is not intended to diagnose, treat, cure, or prevent any disease or condition. Content delivered through the Service is not a substitute for professional medical, psychological, psychiatric, or other healthcare advice. If you are experiencing a medical or mental health emergency, please contact your local emergency services or a qualified professional. Do not delay seeking professional advice because of something you read or saw in the Service.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the App, except to the extent this restriction is prohibited by applicable law.
• Use the Service to violate any law or the rights of any other person.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or commercially exploit the Service or any content within it.

4. Intellectual property

The App, the website, and all content we create for the Service (including the breathing visualization, layout, graphics, and our original written copy) are owned by us and protected by intellectual property laws. Daily quotes are attributed to their authors where authorship is known and used in a manner we believe to be consistent with fair use. We grant you a personal, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial use.

5. Aerify+ subscription

Aerify+ is an optional auto-renewing subscription that unlocks additional features inside the App. Aerify+ is sold and billed by Apple through the App Store. The following terms apply to anyone who purchases Aerify+.

• Price and length. Aerify+ is a one-year subscription priced at US $29.99 per year. New subscribers may be offered an introductory price of US $14.99 for the first year (a 50% discount). Prices in other currencies are set by Apple based on its regional pricing tiers and may vary. The current price is shown on the paywall inside the App before you confirm the purchase.
• Payment. Payment is charged to your Apple ID at confirmation of the purchase.
• Auto-renewal. The subscription renews automatically for another one-year term, at the then-current standard renewal price, unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple ID will be charged for the renewal within 24 hours before the current period ends.
• How to cancel.You can turn off auto-renewal or cancel at any time from your iOS device under Settings › your Apple ID › Subscriptions, or from the App Store. Cancellation takes effect at the end of the current paid period; you keep access to Aerify+ features until then.
• Refunds. Purchases and renewals are handled by Apple under its standard subscription policy. Refund requests are made directly to Apple at reportaproblem.apple.com. We do not process refunds ourselves.
• Introductory offer eligibility. Introductory pricing is offered at Apple’s discretion to eligible new subscribers and is governed by Apple’s rules for introductory offers. After the introductory period, the subscription renews at the standard yearly price unless cancelled.

Your use of Aerify+ is also subject to the App Store’s terms, including Apple’s Standard EULA and the Apple Media Services Terms and Conditions.

6. Third-party stores

The App is distributed through the Apple App Store. Your use of the App Store is also subject to its terms. If there is a conflict between these Terms and the App Store’s terms with respect to the download and installation of the App, the App Store’s terms control for that limited purpose.

7. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service will not exceed one hundred U.S. dollars (US $100), except where such limitation is prohibited by applicable law, in which case our liability is limited to the smallest amount permitted by law.

9. Indemnification

You agree to indemnify and hold us harmless from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service in violation of applicable law or the rights of a third party.

10. Termination

You may stop using the Service at any time by deleting the App. We may suspend or discontinue the Service, or any part of it, at any time, with or without notice.

11. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. Argus Technology Corporation is a Delaware corporation with its principal place of business in New York. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will update the “last updated” date above. Your continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
